Terms of Service

1. Acceptance of Terms

By installing, accessing, or using FirstSell (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and FirstSell.

2. Service Description

FirstSell provides:

  • AI-powered prospect matching that compares social media profiles against your Ideal Customer Profile (ICP).
  • Automated generation of personalized outreach messages based on prospect activity and your founder voice.
  • A Chrome Extension for analyzing profiles on LinkedIn, Twitter, Instagram, Facebook, Reddit, TikTok, and YouTube.
  • A web dashboard for managing your prospect pipeline, messages, and subscription.

3. User Accounts

  • You must be at least 18 years old to create an account.
  • You agree to provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, spam, or fraudulent activity, without prior notice.

4. Subscription Plans

FirstSell offers the following subscription tiers:

  • Free: Limited scans per month, basic AI message generation.
  • Pro: Monthly subscription with unlimited scans, advanced AI features, and CRM integration.
  • Agency: Monthly subscription with multiple team seats and white-label options.

Subscription policies:

  • Subscriptions are billed monthly via Stripe.
  • You may cancel at any time. Cancellations take effect at the end of the current billing period.
  • Refunds are not provided for partial months, except in cases of technical failure attributable solely to FirstSell.
  • Pricing is subject to change with 30 days' prior notice. Price changes do not affect current subscribers until their next renewal.
  • Free tier usage limits may change at our discretion with reasonable notice.

5. Acceptable Use

You agree not to:

  • Use automated scripts, bots, or scrapers to interact with the Service or bypass usage limits.
  • Share your account with other users or allow third parties to use your subscription.
  • Use the Service to send spam, unsolicited mass messages, or engage in any form of harassment.
  • Attempt to reverse-engineer, decompile, or extract source code from the extension or platform.
  • Use the Service to generate fraudulent, misleading, or deceptive outreach messages.
  • Violate the Terms of Service of third-party platforms (LinkedIn, Twitter, Facebook, etc.) when using our extension on their sites.
  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Scrape or collect personal data of prospects beyond what is necessary for your legitimate business outreach.

6. Content & Intellectual Property

  • Your data: you retain full ownership of your ICP, founder identity, and any personal data you upload to the Service.
  • Generated messages: AI-generated outreach messages may be used freely by you for your business communications.
  • Prospect data: you are responsible for ensuring your use of prospect data complies with applicable privacy laws (GDPR, CCPA, etc.).
  • Our platform: FirstSell, including its algorithms, UI, branding, and underlying technology, is owned by us and protected by intellectual property laws.
  • You may not resell, sublicense, or commercialize the Service or its outputs.

7. Service Availability

  • We provide the Service on a best-effort basis and do not guarantee 100% uptime.
  • We may perform scheduled or emergency maintenance that temporarily interrupts the Service.
  • Features marked as "Beta" or "Experimental" may change, be removed, or behave unexpectedly.
  • We are not liable for disruptions caused by third-party services (Firebase, Google APIs, Stripe, social media platforms).

8. Limitation of Liability

  • FirstSell does not guarantee that using our Service will result in sales, clients, or business outcomes.
  • We are not responsible for the content, accuracy, or availability of third-party social media profiles analyzed through the extension.
  • AI-generated messages should be reviewed and personalized before sending.
  • We are not responsible for how recipients respond to your outreach or any negative consequences from your use of generated messages.
  • To the maximum extent permitted by law, our total liability to you for any claims arising from use of the Service shall not exceed the total amount you paid in the 12 months preceding the claim.
  • We exclude all liability for indirect, consequential, or punitive damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless FirstSell and its affiliates from any claims, damages, losses, or expenses (including attorneys' fees) arising from your misuse of the Service, violation of these Terms, spam complaints, privacy violations, or infringement of any third-party rights.

10. Dispute Resolution

  • These Terms are governed by the laws of the Republic of Argentina, without regard to conflict of law principles.
  • Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation.
  • If negotiation fails, disputes shall be submitted to binding arbitration under the rules of the Argentine Chamber of Commerce.
  • Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or a prominent notice in the extension or dashboard. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

12. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the dashboard. Upon termination, your subscription will be canceled (effective at the end of the current billing period) and your data will be deleted according to our Privacy Policy.
